These Terms of Service (“Terms”) govern your use of AskK12 (“AskK12,” “Service,” “Platform,” “we,” “us,” or “our”), an AI-powered chatbot platform designed for K-12 school district websites. AskK12 is operated by Sunflower, LLC.
By creating an administrator account, embedding the AskK12 chatbot on a district website, or using any part of the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a school district, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
AskK12 provides K-12 school districts with an embeddable AI chatbot that answers parent and community questions using district-approved content. The Service includes:

Accounts are created by the AskK12 team during onboarding. There is no self-serve signup. District administrators receive login credentials via email.
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
We reserve the right to suspend or terminate accounts that violate these Terms, pose security risks, or remain inactive for an extended period.
AskK12 chatbots are used by members of the public (parents, guardians, community members) who visit school district websites. These visitors:
By using an AskK12 chatbot, visitors agree that their questions and the chatbot’s responses may be stored temporarily for session continuity and used in aggregate analytics visible to district administrators. Individual conversations are anonymous and are not reviewed, shared, or sold.
District administrators may use the Service to:

You retain all ownership rights to content you provide (“Customer Data”), including Q&A entries, uploaded logos, and branding configurations. By providing data to AskK12, you grant us a limited license to:
We do not claim ownership of your data and will not use it for purposes other than providing the Service.
When you add a URL for crawling, you represent that you have authority to authorize AskK12 to access and index that website’s publicly available content. Crawled content is stored as text chunks with vector embeddings for semantic search. Crawled content is replaced on each re-crawl and deleted when the crawl source is removed.
We may create anonymized, aggregated statistics (e.g., “serving districts across 12 states” or “answered 50,000 parent questions”) for product improvement and marketing purposes. This data cannot be traced back to individual districts, visitors, or conversations.
The Service, including all software, algorithms, UI/UX design, embedding models, prompt engineering, and proprietary methods, is our intellectual property. You may not copy, modify, or create derivative works without our written permission.
AskK12 uses a two-layer answer system:
While AskK12 is designed to provide accurate, source-backed responses, we do not guarantee the accuracy, completeness, or timeliness of any chatbot response. AI-generated responses may occasionally be incorrect, incomplete, or outdated if the underlying website content has changed since the last crawl.
District administrators are responsible for:
AskK12 includes safeguards against prompt injection attacks. The AI is instructed to ignore any instructions embedded in visitor messages and to decline inappropriate or off-topic requests. However, no AI system is immune to adversarial inputs. If you observe the chatbot producing inappropriate responses, contact us immediately at support@askk12.com.
AskK12 chatbots are designed to answer questions using publicly available district website content and administrator-curated Q&A entries. The Service does not collect, store, or process student education records.
If a district inadvertently includes student-level data in Q&A entries or on publicly crawled web pages, that data may appear in chatbot responses. Districts are responsible for ensuring that content provided to AskK12 does not contain improperly disclosed student records.
AskK12 pricing is based on district enrollment size and scope of service. A custom quote is provided before any paid engagement begins. There are no per-message, per-student, or usage-based fees.
For paid accounts, you agree to pay all fees as specified in your service agreement with AskK12. Fees are billed annually and are non-refundable except as required by law.
AskK12 offers a 90-day pilot program for qualifying districts. Pilot chatbots are fully functional and provided at no cost. At the end of the pilot, districts may convert to a paid annual plan or discontinue use. No payment information is required to begin a pilot.
We strive for high availability. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, third-party service outages (including OpenAI API), or unforeseen issues. Scheduled maintenance will be announced in advance when possible.
Each chatbot has a configurable daily message limit (default: 500 messages per day) to prevent abuse and control costs. When the limit is reached, visitors receive a polite notification to try again the next day. District administrators can request limit adjustments.

We are not responsible for outages, changes, or data handling practices of third-party services beyond our control. We select providers based on their security practices and data handling policies.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
You agree to indemnify and hold harmless Sunflower, LLC, its officers, employees, and agents from any claims, damages, or expenses arising from:

We may update these Terms at any time. Material changes will be communicated to district administrators via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in New Jersey, except for claims that may be brought in small claims court.
If any provision of these Terms is found to be void or unenforceable, that provision will be severed to the extent necessary, and the remaining provisions will remain in full effect.
These Terms, together with our Privacy Policy and any executed service agreement or Data Processing Agreement, constitute the entire agreement between you and AskK12 regarding the Service.
